Membership Agreement

This Membership Agreement ("Agreement") is a legally binding contract between you ("Member") and EchoTrail Ventures, Ltd. dba EchoTrail Coworking ("EchoTrail"). By purchasing a membership, you agree to the terms below.

1. Membership Plans

EchoTrail Coworking offers the following membership plans:

Punch Cards

Punch cards offer prepaid day passes at a discounted rate. Days do not expire and can be used at any time within your reserve window.

Additional Days for Members

Members who have used all their included days may purchase additional days at the member rate of $25/day.

Membership benefits and pricing are subject to change. Any changes will be communicated to existing members at least 30 days before taking effect.

2. Billing and Payment

Payment Method

Membership fees are charged to the payment method on file. You authorize EchoTrail to charge your payment method for all fees associated with your membership. You are responsible for keeping your payment information current.

Billing Cycle

Memberships are billed monthly on the anniversary of your start date. For example, if you start your membership on the 15th of the month, you will be billed on the 15th of each subsequent month.

Automatic Renewal

Your membership will automatically renew each month until cancelled. You will be charged the then-current membership rate on each billing date. You may cancel your membership at any time by following the cancellation procedures in Section 3.

Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment cannot be collected within 7 days, your membership access may be suspended until payment is received.

3. Cancellation

How to Cancel

You may cancel your membership at any time by:

  • Logging into your account and selecting "Cancel Membership"
  • Emailing info@echotrail.io with your cancellation request

When Cancellation Takes Effect

Cancellations take effect at the end of your current billing period. When you cancel, your membership will remain active through the end of the period you've already paid for. You will not be billed again after cancellation.

For example, if your billing date is the 15th and you cancel on the 20th, your membership will remain active until the 15th of the following month (the end of your current paid period).

No Refunds

Membership fees are non-refundable. If you cancel mid-cycle, you will retain access to the space through the end of your current billing period, but no prorated refund will be issued.

4. Access and Usage

Access Hours

Standard access hours are 8:00 AM to 6:00 PM, Monday through Friday. Access codes are provided via email upon booking or membership activation. Access hours may vary by membership level or be modified with advance notice.

Desk Reservations Required

Membership does not guarantee desk availability on any given day. Due to limited desks, coworking space, and parking, you must reserve a desk in advance to ensure availability. Members who arrive without a reservation may not be able to work in the office if the space is full.

Planning ahead is important. Use your membership's reserve window (see Section 1) to book desks for the days you need. Dedicated desk members are exempt from this requirement as their desk is always available.

Personal Use Only

Your membership is for your personal use only. You may not:

  • Share your access code with others
  • Allow non-members to use your membership benefits
  • Transfer or assign your membership to another person
  • Sublease any space assigned to you

Guests

Due to limited parking availability, guests are not permitted under standard membership terms. If you wish to bring a guest to the space, they must purchase their own day pass: either a Daily Desk reservation ($30) or a Daily Coworking pass ($20, no reserved desk). This ensures parking availability for all members.

5. House Rules

All members agree to abide by the following rules:

Parking

  • Parking spaces are limited; one space per member/reservation
  • Park only in designated EchoTrail spaces
  • Guests are not permitted due to parking constraints (see Section 4)

Workspace Etiquette

  • Keep noise to a reasonable level in shared spaces
  • Take phone calls in designated areas or outside
  • Use headphones when listening to audio
  • Keep workspaces clean and organized
  • Return shared equipment and supplies after use

Shared Resources

  • WiFi is provided for business use; bandwidth-heavy activities may be restricted
  • Kitchen facilities are shared; clean up after yourself
  • Printing and supplies are for reasonable business use
  • Conference room time should be booked in advance when possible

Prohibited Activities

  • Illegal activities of any kind
  • Smoking or vaping on premises
  • Alcohol consumption (except at sanctioned events)
  • Harassment or discrimination of any kind
  • Solicitation of other members without consent
  • Activities that create excessive noise or disruption

6. Personal Property and Liability

Personal Property

EchoTrail is not responsible for loss, theft, or damage to your personal property, including but not limited to laptops, phones, bags, and other belongings. You are advised not to leave valuables unattended and to secure your belongings when leaving the space.

Assumption of Risk

You acknowledge that use of EchoTrail facilities involves inherent risks. You assume full responsibility for any injuries or damages that may occur during your use of the space, except those caused by EchoTrail's gross negligence or willful misconduct.

Waiver of Liability

To the fullest extent permitted by law, you release and hold harmless EchoTrail Ventures, Ltd., its owners, officers, employees, and agents from any and all claims, damages, or losses arising from your use of the facilities, including but not limited to personal injury, property damage, or theft.

7. Code of Conduct

EchoTrail is committed to providing a welcoming, professional environment for all members. All members are expected to:

  • Treat all members, staff, and guests with respect and courtesy
  • Refrain from discrimination based on race, gender, religion, sexual orientation, disability, or any other protected characteristic
  • Maintain professional conduct and dress appropriate for a shared workspace
  • Report any concerns or violations to EchoTrail staff

8. Termination by EchoTrail

EchoTrail reserves the right to terminate your membership at any time, with or without cause, upon written notice. Grounds for immediate termination include, but are not limited to:

  • Violation of this Agreement or the house rules
  • Harassment or threatening behavior toward other members or staff
  • Illegal activity on premises
  • Non-payment of membership fees
  • Damage to EchoTrail property

If EchoTrail terminates your membership without cause, you will receive a prorated refund for any unused portion of your paid membership period. If termination is for cause, no refund will be provided.

9. Changes to Agreement

EchoTrail may modify this Agreement at any time. We will notify members of material changes at least 30 days before they take effect. Your continued membership after such changes constitutes acceptance of the modified terms. If you do not agree to the changes, you may cancel your membership as described in Section 3.

10. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Jefferson County, Colorado.

11. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and EchoTrail regarding your membership. This Agreement supersedes any prior agreements or understandings, whether written or oral.
